Terms & Conditions

These Terms & Conditions (the “Terms”) govern your access to and use of the websites, applications, and services provided by OutleyAI (“Outley,” “we,” “us,” or “our”), including outley.ai (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The service
Outley provides an AI-driven lead-generation and automated outreach platform. The Service helps businesses identify potential customers and conduct automated communications, including SMS and text-message outreach to recipients for whom the business represents it has obtained appropriate consent. Specific features and limits depend on the plan you select.
2. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. SMS / messaging terms
Types of messages. When you opt in, Outley may send you transactional, account, and service-related SMS messages, including account notifications, demo and appointment confirmations, billing notices, product updates, and responses to your inquiries.
Consent required. You will only receive SMS messages from Outley if you have provided your express consent (for example, by submitting your number through a form with an SMS-opt-in checkbox, by texting a keyword to our number, or by otherwise affirmatively agreeing). Consent to receive SMS is not a condition of any purchase.
Message frequency. Message frequency varies depending on your activity and the notifications you opt in to.
Rates. Message and data rates may apply depending on your mobile carrier and plan.
Opt out. Reply STOP to any message to unsubscribe. After you opt out, we will send a final confirmation message and will not send you further SMS messages unless you opt in again.
Help. Reply HELP for help, or contact us at the support details below.
Carrier liability. Supported carriers are not liable for delayed or undelivered messages.
Customer outreach via Outley. If you use Outley to send SMS to your own contacts, you represent and warrant that you have obtained any required consent from each recipient under applicable law (including the TCPA, CASL, CTIA guidelines, and any carrier requirements) before sending. You are solely responsible for the content of messages you send through the Service and for honoring opt-out requests from your recipients.
4. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation, including anti-spam, telemarketing, consumer-protection, privacy, or export-control laws;
- Send messages to recipients who have not provided required consent, or who have opted out;
- Send unsolicited bulk messages, phishing content, malware, sexually explicit content, hate speech, content promoting violence, or content related to prohibited categories under carrier or messaging-program rules (including SHAFT — sex, hate, alcohol, firearms, tobacco — where prohibited, illegal substances, gambling where prohibited, and high-risk financial services);
- Impersonate any person or entity, or misrepresent the source of any message;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or any related systems; or
- Reverse-engineer, copy, or create derivative works from the Service except as expressly permitted by law.
5. User obligations and content
You are responsible for any data, lists, or content you submit to the Service and for ensuring you have all rights and consents necessary to use that data through the Service. You grant Outley a limited, non-exclusive, royalty-free license to host, process, and transmit your content solely to provide the Service to you.
6. Fees and billing
Paid plans are billed in advance on a recurring basis according to the plan you select. Unless otherwise stated, fees are non-refundable. You authorize us to charge your designated payment method for all applicable fees and taxes. We may change pricing on prospective terms with reasonable notice.
7. Suspension and termination
We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if your use creates risk for Outley or other users, if required by law, or for any other reason consistent with applicable law. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.
8. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of results, or uninterrupted operation. Outley does not warrant that the Service will be error-free or that any specific business outcome will be achieved.
9. Limitation of liability
To the maximum extent permitted by law, Outley and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities, arising out of or relating to your use of the Service, even if advised of the possibility of such damages. Our aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of the amounts you paid Outley in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD $100).
10. Indemnification
You agree to defend, indemnify, and hold harmless Outley and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, messages you send through the Service, or your breach of these Terms or applicable law.
11. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
